Terms of Service
1. Overview
These Terms of Service ("Terms") govern your use of citsolution.in (the "Site") and any project engagement with Corning IT Solution LLP ("Corning IT Solution", "we", "us"). By using the Site or engaging us for services, you agree to these Terms.
2. Services
Corning IT Solution provides website development, mobile app development, custom software and ERP implementation, UI/UX design, cloud/DevOps, and related maintenance services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal or Statement of Work ("SOW") agreed with the client before work begins — these Terms apply alongside, and do not override, a signed SOW.
3. Quotes & payment
Unless otherwise agreed in writing, fixed-price projects are billed in milestones tied to agreed deliverables, and dedicated-team or retainer engagements are billed monthly in advance. Invoices are due within the period stated on the invoice; we reserve the right to pause work on overdue accounts.
4. Intellectual property
Unless the SOW states otherwise, ownership of custom code, designs, and other deliverables created specifically for your project transfers to you upon full and final payment. Corning IT Solution retains the right to reuse general-purpose components, libraries, and know-how that are not specific to your business. Third-party software, frameworks, and open-source components (including Frappe/ERPNext) remain governed by their own respective licenses.
5. Client responsibilities
You agree to provide timely feedback, access, credentials, and content reasonably required for us to deliver the project on schedule. Delays in feedback or access may extend agreed timelines accordingly.
6. Warranty & support
Completed projects include a warranty period (specified in the SOW) during which we will fix defects in delivered work at no additional charge. This warranty does not cover new features, changes in requirements, or issues caused by third-party changes, hosting environment changes, or modifications made by parties other than Corning IT Solution.
7. Confidentiality
We treat client business information, data, and materials shared with us as confidential, and will sign a mutual NDA on request before detailed discovery discussions.
8. Limitation of liability
To the maximum extent permitted by law, Corning IT Solution's total liability arising out of any engagement is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of delivered software.
9. Third-party services
This Site uses Formspree to process contact form submissions. Delivered projects may integrate other third-party services (payment gateways, cloud hosting, APIs) as agreed with you; use of those services is subject to their own respective terms.
10. Governing law
These Terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Site after changes constitutes acceptance of the revised Terms.
